Terms of sale

Last updated: 8 October 2026.

Scope

These terms of sale apply to the services offered by Player One Labs under the brand Oshibori Media, in particular through the website oshiborimedia.com.

They are provided to any business client on request (Article L. 441-1 of the French Commercial Code) and form the sole basis of the commercial negotiation. They prevail over the client's purchasing terms, unless otherwise agreed in writing.

They are intended for professionals: the services are not offered to consumers.

Placing an order means accepting the terms of sale in force on the date of the order.

Service provider

Player One Labs, a simplified joint-stock company (SAS) with a share capital of €1,000, 55 avenue Marceau, 75116 Paris, France, Paris Trade and Companies Register 914 014 329, SIRET 914 014 329 00017, EU VAT number FR51914014329. Phone: +33 6 67 85 67 74. Email: ruben@playeronelabs.com.

Contract documents

The contract consists, in decreasing order of priority, of the accepted quote or purchase order and its appendices (specifications, data processing agreement), then of these terms of sale. In case of conflict, the higher-ranking document prevails.

Orders

Each service is subject to a quote, free of charge unless stated otherwise, valid for thirty days from its issue.

The order is firm upon written acceptance of the quote, by signature or by email, and, where the quote provides for it, upon payment of the deposit. Any later change requested is subject to an amendment or an additional quote.

Prices

For business clients, prices are stated in euros excluding taxes; VAT at the applicable rate is added. Prices shown on the website are indicative: only the accepted quote is binding.

Costs incurred for the client (travel, licences, advertising space or third-party services) are re-invoiced at cost if they are provided for in the quote or accepted in writing.

For business clients and recurring services of indefinite duration, prices may be revised once a year, on the anniversary date of the contract, with one month's written notice; the client may then end the contract at no cost before the new price takes effect.

Invoicing and payment

Unless the quote states otherwise, invoices are payable by bank transfer within 30 days of their issue date, and in any event within the maximum periods of Article L. 441-10 of the French Commercial Code. A deposit may be requested with the order. No discount is granted for early payment.

Recurring services are invoiced monthly, at the start of each period, unless the quote states otherwise.

Late payment

Any late payment by a business client automatically triggers, without prior reminder, late-payment interest at the rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points, due from the day after the due date (Article L. 441-10 of the French Commercial Code), and a fixed recovery fee of €40 (Article D. 441-5 of the same code), increased on proof if actual costs are higher.

After a formal notice that remains unanswered for eight days, Player One Labs may suspend the services in progress until full payment.

Client obligations

The client cooperates in good faith: it appoints a contact person, provides within the agreed time the information, content, access and approvals needed, and is responsible for their accuracy.

It warrants that it holds the rights to the content it provides (texts, images, trademarks, data) and indemnifies Player One Labs against any third-party claim in this respect. Any delay on the client's side postpones the delivery dates accordingly.

Deadlines and acceptance

For business clients, deadlines in the quote are indicative unless expressly committed. If a delay exceeds thirty days, the client may, after a formal notice that remains unanswered for fifteen days, terminate the order for the part not performed and obtain a refund of the amounts paid for that part.

For business clients, each deliverable is deemed accepted if the client has not made written, reasoned reservations within ten working days of delivery, or as soon as it is put online or used by the client. Justified reservations are corrected within a reasonable time.

Intellectual property

Works created specifically for the client (deliverables) are assigned to the client as and when they are paid in full. The assignment covers the rights of reproduction, representation and adaptation, for all media and forms of exploitation known at the date of the contract, worldwide and for the legal term of protection, in accordance with Article L. 131-3 of the French Intellectual Property Code. Until full payment, the client only has a provisional right of use.

Player One Labs retains ownership of its know-how, methods, tools, templates, libraries and pre-existing or generic elements, even when built into the deliverables; the client receives a free, non-exclusive licence over them, for the term of protection, limited to the use of the deliverables.

Open-source components, fonts, stock photos and third-party services remain subject to their own licences, which the client undertakes to respect.

Elements produced with the help of artificial intelligence tools are delivered with only the rights those tools allow: Player One Labs does not guarantee that they can be subject to an exclusive right.

Client reference

Unless a business client objects in writing, Player One Labs may mention its name and logo, and present public work, as a commercial reference.

Advertising space and third-party platforms

Advertising budgets (media buying, platform campaigns, creator fees) are separate from the fees of Player One Labs. They are paid directly by the client to the platforms or, where Player One Labs buys space on the client's behalf, as an agent under a written mandate and in accordance with the transparency rules of Articles 20 et seq. of French Law No. 93-122 of 29 January 1993: the seller's invoice is addressed to the client, and Player One Labs receives no remuneration other than its fees.

Platforms (social networks, search engines, marketplaces) apply their own terms and may change, suspend or refuse content or a campaign: Player One Labs is not responsible for this.

Subcontracting

Player One Labs may subcontract part of the services to subcontractors of its choice, for whom it remains responsible to the client.

Confidentiality

Each party keeps confidential the non-public information received from the other in connection with the contract and uses it only to perform the contract, for its whole term and three years after its end. This obligation does not cover public or already known information, nor information whose disclosure is required by law or by an authority.

Personal data

Each party complies with data protection law, including Regulation (EU) 2016/679 (GDPR). Where Player One Labs processes personal data on behalf of the client (the client's contacts, customers or prospects), it acts as a processor within the meaning of Article 28 of the GDPR: a data processing agreement, signed or attached to the quote, sets out the subject matter, duration, nature and purpose of the processing, the categories of data and data subjects, and each party's obligations.

The data of clients and prospects of Player One Labs is processed as described in the privacy policy (/en/confidentialite).

Liability

Player One Labs is bound by an obligation of means. Unless expressly committed in the quote, it guarantees no result, in particular in terms of search engine ranking, traffic, campaign performance, number of enquiries or revenue, which also depend on factors beyond its control.

It is liable only for direct and proven damage caused by its fault. Towards a business client, its liability is excluded for indirect damage, such as loss of revenue, customers, data or reputation, and its total liability, on all grounds, is limited to the amount excluding tax of the order concerned or, for a recurring service, to the amounts paid or due for the twelve months preceding the event giving rise to liability.

These limits do not apply in case of gross negligence or wilful misconduct, nor to personal injury.

Force majeure

Neither party is liable for a failure caused by force majeure within the meaning of Article 1218 of the French Civil Code. If the impediment lasts more than thirty days, either party may end the order in writing, without compensation; services already performed remain due.

Term and termination

One-off services end on acceptance of the deliverables. Recurring services are concluded for the initial term stated in the quote, then continue for an indefinite term: either party may then end them at any time in writing, with one month's notice.

In case of serious breach by the other party, not remedied thirty days after a written formal notice, either party may terminate the contract by operation of law, without prejudice to damages. Services performed up to the effective date remain due, and paid deliverables remain the client's.

General provisions

The client may not assign the contract without the written consent of Player One Labs. The invalidity of a clause does not affect the others. Failing to invoke a breach does not waive the right to invoke it later.

Terms of sale updated on 8 October 2026.

Governing law and jurisdiction

The contract is governed by French law.

Where both parties are traders, any dispute relating to its formation, performance or termination falls, failing an amicable agreement, within the exclusive jurisdiction of the competent courts of Paris, including for summary proceedings, multiple defendants or third-party claims (Article 48 of the French Code of Civil Procedure).

Language

This document is a translation of the French original. In case of discrepancy, the French version prevails.
